These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between you, whether an individual or legal entity (“End User”, “You”, “Your”), and Recods Company Limited, a company incorporated under the laws of the Republic of Kenya (“RECODS”, “we”, “us”, or “our”).
These Terms govern your access to and use of https://recods.com, https://login.recods.com, and all related dashboards, tools, services, and communications (collectively, the “Platform” and “Services”).
BY REGISTERING, PAYING, ACCESSING, OR USING THE PLATFORM, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
“Content” means all sound recordings, musical compositions, audiovisual works, artwork, metadata, lyrics, images, videos, and related materials submitted by You.
“DSPs” means digital service providers including but not limited to Spotify, Apple Music, YouTube, TikTok, Meta platforms, Amazon Music, Beatport, Boomplay, Audiomack, radio, and similar services.
“High-Risk Platforms” means platforms prone to fraud or abuse, including but not limited to YouTube Content ID, Beatport, fingerprinting systems, Meta monetization tools, and similar services.
“Royalties” means net revenue actually received by RECODS from DSPs, after all deductions, clawbacks, refunds, taxes, and fraud adjustments.
“Fraud” includes artificial streaming, manipulation, bot activity, misleading metadata, impersonation, unauthorized uploads, or any deceptive or unlawful conduct.
You must be at least eighteen (18) years old and legally capable of entering binding contracts.
As a mandatory condition of registration, all End Users must successfully complete a one-time identity verification process before they are permitted to:
Submit releases for distribution
Access monetization features
Receive payouts
Verification is conducted through Veriff or another trusted third-party provider and may require:
Government-issued identification
Live selfie verification
Business or label verification (where applicable)
Failure or refusal to complete identity verification will result in restricted access or denial of Services without refund.
Identity verification is required to:
Prevent fraud and misuse
Comply with DSP, payment, and regulatory requirements
Confirm accountability and rights ownership
This requirement cannot be waived, including where a user does not have access to a smartphone or required documents.
RECODS offers paid plans including, but not limited to, Artist Plans and Label Plans, as described on the Platform.
ALL REGISTRATION, SUBSCRIPTION, AND PLAN FEES ARE FINAL AND NON-REFUNDABLE, including but not limited to cases involving:
Account suspension or termination
Fraud detection or enforcement
DSP rejection or takedowns
Failure to complete verification
Inactivity or dissatisfaction
Changes in business circumstances
Payment does not guarantee approval, distribution, monetization, revenue, or continued platform access.
Payment of any fee does not constitute:
A guarantee of DSP acceptance
A guarantee of monetization or income
Immunity from fraud checks or enforcement
A guarantee of uninterrupted or permanent access
RECODS provides digital music distribution, reporting, analytics, royalty administration, and related services.
RECODS does not guarantee:
Placement, promotion, playlisting, or visibility
Commercial success
Acceptance by any DSP
You grant RECODS an exclusive, worldwide, sublicensable license during the Term to host, encode, distribute, monetize, communicate, and exploit Your Content through DSPs.
For any DSP selected via RECODS, You may not distribute the same Content to that DSP through another distributor during the Term.
Ownership of Content remains with You.
Access to High-Risk Platforms (including YouTube Content ID, Beatport, fingerprinting, and similar services) is not automatic and requires a separate application.
Applicants must demonstrate and warrant that they:
Own or fully control all rights
Have full authorization to monetize, claim, and administer rights
Are not involved in fraudulent or abusive activity
RECODS retains sole discretion to approve, deny, suspend, or revoke access to High-Risk Platforms at any time, without obligation to provide justification.
You represent and warrant that:
You own or control all necessary rights
Your Content does not infringe any third-party rights
All metadata and information are accurate
You will not engage in Fraud or misuse
You agree to indemnify and hold RECODS harmless from all claims arising from breach.
RECODS maintains a strict Anti-Fraud Policy.
RECODS may, at its sole discretion:
Suspend or terminate accounts
Remove or takedown Content
Withhold, escrow, adjust, or forfeit Royalties
Permanently block access
Payment of any fee does not exempt You from fraud enforcement.
Royalties are calculated on a net basis
Payouts are subject to minimum thresholds and invoicing rules
Royalties may be withheld for up to 24 months or longer where required by DSPs, investigations, or law
RECODS is not responsible for DSP delays, errors, or clawbacks
All onboarding, approval, or “account ready” emails are informational only and do not limit RECODS’ rights to review, suspend, or terminate accounts at any time.
RECODS may suspend or terminate access immediately for:
Fraud or suspected fraud
Legal or DSP risk
Breach of these Terms
Chargebacks or payment disputes
Upon termination:
Content may be removed
Royalties remain subject to withholding and adjustment
Fees remain non-refundable
THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
RECODS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
RECODS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
These Terms are governed by the laws of Kenya.
All disputes shall be resolved by binding arbitration in Nairobi, Kenya, under WIPO Arbitration Rules, except where prohibited by law.
These Terms supersede all prior communications and marketing
Continued use constitutes acceptance of updates
If any provision is invalid, the remainder remains enforceable
